Terms and Conditions
At TCHE, we strive to provide high-quality consulting services tailored to the individual needs of our clients. By engaging in our services, you agree to the following general terms and conditions that apply to all temporary and indefinite packages:
1. Acceptance of Terms
By using our services, you accept these terms and conditions. If you do not agree, please do not use our services.
2. Services Provided
TCHE offers a range of consulting services as agreed upon with the client. These services may be outlined in a written agreement and can be adjusted by mutual consent between TCHE and the client. Our goal is to provide flexible solutions that meet the unique needs of your business.
3. User Responsibilities
You agree to provide accurate and complete information when engaging our services. Use of our services must comply with all applicable laws and our company policies. We expect respectful, professional communication; any rude or inappropriate behavior toward our team will not be tolerated and may result in the termination of services without prior notice.
4. Duration and Termination
Consulting packages may be temporary or indefinite in nature. For indefinite packages, services will continue until terminated by either party. Temporary packages will last for the agreed-upon duration. Both parties can terminate the agreement with 15 days’ written notice unless otherwise specified. Immediate termination is possible in the event of a material breach of the agreement. A client may, without any reason, cancel a direct agreement at any time from the date of entering into the agreement until 10 days after the consumer has received the written copy of the agreement.
5. Compensation
All consulting services are billed on a monthly basis, and invoices are due within 15 days of receipt. Invoices will be issued for the agreed-upon rate, and all fees are in Canadian Dollars (CAD) unless otherwise stated. Interest on overdue payments will be charged at a rate of 20% per annum or the maximum rate permitted by law. TCHE reserves the right to suspend or terminate services in the event of late or missed payments. Additional expenses or fees related to third-party services, such as advertising platforms or software, are not included in our pricing and are the responsibility of the client.
6. Confidentiality
We take confidentiality seriously. All client information provided to TCHE during the course of our engagement is treated as confidential. This includes any proprietary information or trade secrets shared during the consulting period. Our confidentiality obligations will remain in effect even after the termination of our agreement.
7. Intellectual Property
All intellectual property developed during the consulting period remains the sole property of the client unless otherwise agreed. TCHE will not use or disclose any intellectual property outside of the agreed-upon services without explicit client consent.
8. Independent Contractor
TCHE operates as an independent contractor and not as an employee of the client. Our team maintains full autonomy over the methods and processes used to provide consulting services. We are committed to delivering results while respecting the client’s expectations and business needs.
9. Right of Substitution
TCHE reserves the right to engage qualified third-party subcontractors to assist with service delivery. Any subcontractors engaged will be paid directly by TCHE, and the client remains responsible only for the agreed-upon compensation.
10. No Exclusivity
This agreement is non-exclusive, meaning both the client and TCHE are free to engage with third parties during the term of this agreement.
11. Indemnification
Both TCHE and the client agree to indemnify and hold harmless the other party from any claims, damages, or liabilities that arise in connection with the provision of services, excluding those covered by applicable insurance. TCHE is not liable for any indirect, incidental, or consequential damages arising from the use of our services. While we work to provide optimal results, the nature of digital marketing means outcomes may vary. In any case, our liability for direct damages will not exceed the fees paid by you for the relevant services.
12. Changes to Terms
We reserve the right to modify or update these terms periodically. Continued use of TCHE services following any changes constitutes acceptance of the updated terms.
13. Third-Party Service Fees
Please note that all services and pricing provided by TCHE do not include any third-party costs, such as ad spend, platform fees, domain registration, or other associated charges. These additional costs are separate and are typically invoiced directly by the third party and are the client’s responsibility.
14. Governing Law
This policy, as well as any agreements made with TCHE, is governed by the laws of the Province of Ontario, Canada. Any disputes will be resolved through the courts of Ontario.
